Reviews, obligations, documents and signatures
Sterling has three tabs: Reviews, Obligations and Documents. Tap Sterling under Workers in the left menu. He opens on Reviews. Everything he shows comes from records saved in your workspace.
Reviews
Reviews lists the contracts Sterling has checked, newest first. Each row shows the counterparty, the document type, the status, and how many clauses are flagged.
Tap a review to see:
- The summary, plus the term, value, effective date and review date where the contract gives them.
- A clause checklist of seven clauses: Auto-renewal, Indemnity, Termination, Limitation of liability, Exclusivity / restrictions, Governing law and IP assignment. Each is Flagged, Present or Not in document. Flagged clauses come first.
- The contract's own words for each flag, quoted exactly. A quote is checked against the document in code. A quote that isn't really there is rejected.
- A question for your attorney on each flag.
- "Attorney review required" with the reasons, when the contract reaches a threshold. Today that means an IP assignment or exclusivity clause, possible personal-guarantee or equity language, or a dollar amount of $10,000 or more.
Sterling never scores severity or likelihood. He doesn't say whether a clause is enforceable or whether to sign.
Sterling also checks the text for hidden characters and for wording aimed at an AI reader. If he finds any, he tells you first. He never follows an instruction found inside a contract.
Ask in chat: "What contracts have you reviewed?"
Obligations
Obligations lists renewals and notice deadlines, each with its date, a note and the days left. One status dot shows red, amber or green. The dot is worked out from the date each time you look, so it can't go stale.
- Open Obligations.
- To track a date, tell Sterling the renewal or notice date from a signed document and tap Add on his card.
Some dates warn you earlier than others. A patent conversion warns about 90 days ahead, a foreign qualification 60, an annual report 45, a contract follow-up 14, and anything else 30.
Ask in chat: "What's coming up?" Sterling reads the list. He doesn't guess that nothing is due.
Exact dates
Sterling calculates every "N days before or after" date with a date tool, never by hand.
- Days are calendar days, unless you say business days.
- Business days skip Saturdays and Sundays only. Public holidays aren't skipped. Your contract or your attorney decides which holidays count.
- Whether the deadline day itself counts depends on your contract's wording.
- If you want a buffer, ask for one. Sterling calculates it and labels it as your buffer.
Documents
Documents lists the legal documents Sterling saved to your workspace Drive. If a document has a review, tap it to open the review.
Signatures
Documents waiting for your signature or countersignature appear under Signatures in the left menu, with their deadline. Sending a document out for signature from Sterling's chat isn't available yet.
