Cap table, governance and the other tabs

These are the rest of Reed's tabs. Reed's order is: Pipeline, Programs, Capital Raised, Cap Table, Governance, Notices, Updates, Vote, My Position, Documents, Signed Docs, 409A, and AI Calls last (early access). There is no Data Room tab.

Capital Raised

Target, committed, received, remaining, instrument and valuation cap for the active round. Ask "How's the raise going?"

Cap Table

A real table: Company, Fully diluted shares, the valuation (or the cap), price per share, then Holder, Class, Shares, % outstanding and % fully diluted, with a Total row.

Importing or changing the cap table by asking Reed isn't available yet, and the tab can lag until you reload after a change.

Governance

Governance lists your governance documents (board consents, stockholder consents, charter, bylaws, agreements, minutes), each with its date and Drive link, then ballots and results.

  1. Open Reed and tap Governance.
  2. To add a document, ask: "Add our board consent authorizing the share sale," and give the Drive link. The document is listed.
  3. A correction is a new record that replaces the old one. Nothing is removed.

Only the workspace owner, admins and investor-relations members can read Governance. Board consents and stockholder votes built in Reed aren't available yet: the tab shows ballots that already exist, or "none yet".

Notices

Notices that have been sent to investors in this round: subject, how many people got it and when. The tab is a read-only list.

Updates

Updates the company has published to its investors, newest first. "Nothing has been published yet" when empty.

Vote

Shareholder ballots that are open now, with their closing date. "There are no open ballots right now" when empty.

My Position

The investor's own view: amount, instrument and signing status. For a SAFE it shows the amount and cap and says it converts at a future priced round, with no share count. If you don't hold a position in the round, it says so.

Documents

Your own signed SAFE, subscription agreement and tax documents for the round. They appear after you invest.

Signed Docs

The signing records for executed documents.

409A

Reed doesn't compute a 409A value or a strike price. A 409A value only comes from an independent appraiser's report uploaded to your records. Reed can gather what the appraiser asks for: the cap table, the financials from Max and recent rounds. No value is shown on this tab, and none is used as a grant price.
